Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of CairnHR, an AI-powered HR compliance guidance platform operated by TruckeeHR LLC (“we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Description of Service

CairnHR is an AI-powered platform that provides HR compliance guidance for small businesses. The Service helps users navigate employment law scenarios by providing step-by-step guidance, risk assessments, and document generation based on state and federal employment law and user-uploaded company policies.

The Service provides general HR compliance guidance based on state and federal employment law. This guidance is not a substitute for professional legal counsel. The information provided by CairnHR:

User Responsibilities

By using the Service, you agree to:

• Use the Service only for lawful purposes related to HR compliance guidance.

• Not use the Service to discriminate against, harass, or retaliate against any employee or individual.

• Not attempt to reverse-engineer, copy, or reproduce the Service’s compliance logic, workflows, or generated content for commercial redistribution.

• Not share your access code with unauthorized users.

• Consult with a qualified attorney or HR professional for high-risk situations as recommended by the Service.

Company Policies and Document Uploads

You may upload your company’s employee handbook, policies, or other documents to the Service. By uploading documents, you represent and warrant that:

• You have the authority to share these documents with the Service.

• The documents do not contain sensitive personal information beyond what is necessary for the compliance scenario. We recommend removing Social Security numbers, medical records, and other highly sensitive data before uploading.

We process uploaded documents to provide tailored guidance. Please refer to our Privacy Policy for details on how uploaded documents are handled.

Intellectual Property

The Service, including its compliance logic, workflow structures, user interface, branding, and generated content templates, is the intellectual property of TruckeeHR LLC. You may use the documents and guidance generated by CairnHR for your own internal business purposes. You may not:

• Reproduce, redistribute, or sell CairnHR’s generated content as a commercial product or service.

• Copy or replicate the Service’s compliance workflow logic for use in a competing product.

• Remove or alter any disclaimers, attributions, or branding included in the Service’s outputs.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUCKEEHR LLC AND CAIRNHR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You acknowledge that HR compliance guidance involves inherent uncertainty and that no AI-powered tool can guarantee legal compliance. You use the Service at your own risk and are solely responsible for the employment decisions you make.

Indemnification

You agree to indemnify, defend, and hold harmless TruckeeHR LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your employment decisions made based on guidance provided by the Service.

Service Availability and Modifications

We strive to maintain availability but do not guarantee uninterrupted or error-free operation. We reserve the right to:

• Modify, suspend, or discontinue the Service (or any part of it) at any time with or without notice.

• Update the Service’s compliance content, features, and functionality as employment laws change or as we improve the product.

• Limit the number of scenarios, features, or access available to free or trial users.

Free Trial and Access Codes

CairnHR may offer free trial access with a limited number of scenarios. Access codes may be provided to certain users for extended or unlimited access. Access codes are personal to the user or organization they are issued to and may not be shared, sold, or distributed without our permission. We reserve the right to revoke access codes at any time.

Termination

We reserve the right to terminate or suspend your access to the Service at any time, with or without cause and with or without notice. You may stop using the Service at any time. Upon termination, your right to use the Service will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Nevada County, California.

Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.
